1. The Service
Service Description: Detail provides AI-powered tools designed to help engineering teams maintain code quality and security. Current capabilities include identifying bugs in customer codebases, proposing fixes to internal documentation within repositories, and helping enforce rules within codebases. We continuously develop and release new features intended to support engineering quality and security workflows. References to "the Service" include any such future features made available to you.
Customer Recognition: We may identify you as a customer in customer lists, case studies, and marketing materials, subject to any restrictions in your Order Form.
2. Subscriptions, term, and termination
Subscription Options: We offer both month-to-month and annual subscription plans. Specific pricing, term length, renewal terms, and included features are set out in your Order Form or the plan you select at sign-up.
Renewal: Annual subscriptions automatically renew for successive one-year terms unless either party provides notice of non-renewal at least 30 days before the end of the then-current term. Month-to-month subscriptions automatically renew each month unless cancelled.
Termination for Convenience: You may cancel a month-to-month subscription at any time, effective at the end of the current billing period. Annual subscriptions may be cancelled effective at the end of the current term as described above.
Termination for Cause: Either party may terminate for material breach if the breach is not cured within 30 days of written notice. We may terminate or suspend your access immediately if you violate these Terms, fail to pay fees when due, pose a security risk, or engage in prohibited activities.
Effect of Termination: Upon termination, your access to the Service will end and you must return or destroy any of our confidential information in your possession. Fees paid are non-refundable except as expressly stated in your Order Form.
3. Service availability and modifications
Service Availability: The Service is provided on an "as available" basis. We do not guarantee uninterrupted access or that the Service will be error-free, except as expressly set out in your Order Form. We may suspend, modify, or discontinue features of the Service at any time.
Service Suspension: We may immediately suspend your access to the Service if you violate these Terms, fail to pay fees when due, pose a security risk, or engage in prohibited activities.
Support: We provide support at the level described in your applicable Order Form or plan. Outside of any specific commitments in your Order Form, support is provided on a commercially reasonable, best-effort basis.
4. AI service disclaimers
AI Limitations: The Service uses artificial intelligence to analyze code, identify issues, and propose changes to code and documentation. You acknowledge that:
AI-generated outputs may contain errors, bugs, or suboptimal solutions
All AI suggestions should be reviewed and tested before implementation
We make no guarantees about the accuracy, completeness, or quality of AI-generated outputs, including any code, documentation, or rule recommendations
You are solely responsible for reviewing, testing, and implementing any AI recommendations
The Service may not identify all bugs, vulnerabilities, documentation issues, or rule violations in your codebase
5. User responsibilities
Account Security: You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or security breaches.
Authentication: You must use only authorized access methods and maintain appropriate security measures when accessing the Service.
Payment: You are responsible for paying all fees specified in your Order Form or plan, including applicable taxes, on the schedule specified.
6. Data, privacy, and AI training
Definitions: For purposes of this Section 6, "Customer Data" means data, content, code, configuration, or other information that you or your authorized users submit to, upload to, or make accessible to the Service, including source code and related materials processed by Detail. "Usage Data" means metadata and signals derived from your interaction with the Service, including which suggestions, bug reports, or recommendations are accepted, rejected, modified, or ignored, and aggregate patterns of feature use.
Code Ownership: You retain all ownership rights to your Customer Data. Any code, documentation changes, rule definitions, or other outputs generated by the Service on your behalf are owned by you. We claim no ownership rights to your Customer Data or any derivatives created for you by the Service.
Data Retention: We will retain your Customer Data only as long as necessary to provide the Service and fulfill our obligations under these Terms. Upon termination, we will delete or return your Customer Data as requested, subject to legal retention requirements.
Data Processing: We will process your data in accordance with our Privacy Policy and applicable data protection laws.
AI Training: We train and improve our models as part of delivering the Service. We do not train models to reproduce Customer Data, and in particular we do not train models that have any meaningful risk of regurgitating one customer's code or IP to any other customer. We do use Usage Data — for example, which proposed bug fixes customers accept, modify, or decline — to improve how the Service prioritizes and presents recommendations to all customers.
Inference Providers: Each third-party inference or model-hosting provider that processes Customer Data on our behalf in connection with the Service is subject to a zero data retention arrangement, under which the provider does not retain Customer Data after completing the relevant inference or processing request and does not use Customer Data to train its own models.

Exclusions: Information that is publicly known, independently developed, or received from authorized third parties is not considered confidential.
10. Limitation of liability
Liability Cap: Our total liability to you under these Terms is limited to the fees you paid to us in the 12 months preceding the event giving rise to the claim. We will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
Service Disclaimers: The Service is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. Without limiting the foregoing, we make no warranty that AI-generated outputs are non-infringing, and you are solely responsible for reviewing outputs before use.
11. Indemnification
Your Indemnification: You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, your infringement of third-party rights, or your use or implementation of any AI-generated output.
12. Compliance and legal requirements

Legal Compliance: You must use the Service in compliance with all applicable laws and regulations.
13. Force majeure
We will not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, government actions, network failures, or other unforeseeable events.
14. General terms
Governing Law: These Terms are governed by Delaware law.
Entire Agreement: These Terms, together with any Order Form, constitute the complete agreement between us regarding the Service. In the event of a conflict between these Terms and an Order Form, the Order Form controls.
Modifications: We may update these Terms at any time without notice. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.
Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
